Terms of service
By signing up for any online event service (“Service”) from Whole Plant Expo (“WPE”) or any of the services of Orevada Compound, LLC (“TheCompound.io”) you are agreeing to be bound by the following terms and conditions (“Terms of Service”). Any new features or tools that are added to the current Service shall be also subject to the Terms of Service. You can review the current version of the Terms of Service at any time at here at https://wholeplantexpo.com/terms-of-service/. WPE and TheCompound.io reserve the right to update and change the Terms of Service by posting updates and changes to the wholeplantexpo.com website. You are advised to periodically check the Terms of Service for any updates or changes that may impact you.
1. Account Terms
1.1. You must be 18 years or older or at least the age of majority in the jurisdiction where you reside or from which you use this Service.
1.2. You must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.
1.3. You acknowledge that WPE will use the email address you provide as the primary method for communication.
1.4. You are responsible for keeping your password secure. WPE cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
1.5. You are responsible for all activity and content such as videos, files, data, graphics, photos and links that is uploaded under your WPE account (“Content”). You must not transmit any worms or viruses or any code of a destructive nature.
1.6. A breach or violation of any term in the Terms of Service as determined in the sole discretion of WPE and TheCompound.io will result in an immediate termination of your services.
2. Account Activation
2.1. Subject to section 2.2, the person signing up for the Service will be the contracting party (“Account Owner”) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding account we may provide to the Account Owner in connection with the Service.
2.2. If you are signing up for the Service on behalf of your employer, your employer shall be the Account Owner. If you are signing up for the Service on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to our Terms of Service.
3. General Conditions
3.2. Technical support is only provided to paying account holders and is only available via email.
3.3. You may not use WPE for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of the United States and the state of Oregon.
3.4. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by TheCompound.io.
3.5. You shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use “Whole Plant Expo,” “The Compound,” “TheCompound.io” or TheCompound.io trademarks and/or variations and misspellings thereof.

3.7. You understand that your Content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit Card information is always encrypted during transfer over networks.
3.9. Unless you are on a paid plan with no transaction fees or have written consent from WPE, you agree not to charge people to access your content other than by collecting payments via WPE Service. Any attempt to bypass the WPE payment system to avoid transaction fees may result in the suspension or cancellation of your account.
4. Attendee Terms & Conditions
4.1. Please read this Agreement carefully before otherwise accessing WPE. By accessing any web page of WPE (other than this Agreement), Attendees indicate that they have read and agree to be bound by all the terms and conditions set forth in this Terms of Service in toto.
4.2. An Attendee may register on behalf of more than one person, provided, that (a) the Attendee has first secured the authorization required to execute this Terms of Service on behalf of the second-party person being registered, (b) person effectuating such a registration otherwise has the ability to agree to this Terms of Service on behalf of such person, and (c) a different email address is used for each person registering.
4.3. No Transfer: your registration to WPE and/or your right to use WPE through your ticket or pass is not transferrable to any other person. It is forbidden to transfer usernames and passwords, passes and any other credentials used for gaining admittance to WPE. Attendees who transfer login credentials to any other person will forfeit their ability to enter WPE for the duration of the event.
4.4. WPE contains various text, comments, icons, images, messages, tags, links, photographs, audio, video and other content (collectively, “Content”). We also may offer Attendees the opportunity to post certain Content to WPE in connection with certain interactive WPE features, including without limitation commenting on text and participating in discussion forums (“Submitted Content”). Attendees are encouraged to enjoy and contribute to these forums but ask that at all times are responsible WPE community members who adhere to the applicable terms of this Agreement relating to Submitted Content (or other terms which may be posted from time to time), so that all participating Attendees can have an equally enjoyable experience. To this end, you acknowledge and agree that (a) WPE has no obligation to use or respond to any Submitted Content; (b) the provision of Submitted Content by you in no way imposes any other obligation on WPE, whether of confidentiality, attribution, or otherwise, and WPE shall not be liable for any use or disclosure of any Submitted Content; (c) all Submitted Content submitted by you shall be accurate and shall not violate the copyright, trademark, patent, trade secret, right of publicity or any other intellectual property or other right of any third party; (d) you will not post any Submitted Content to WPE which contains Trademarks or other third party materials prohibited by this Agreement or otherwise by law, (e) you hereby waive any and all claims (including, without limitation, claims based upon invasion of privacy, defamation, false light, or right of publicity) arising out of or related to any alteration, distortion or other use of your name, image or likeness or that of any third party which is included in any Submitted Content by you (including without limitation your photograph or the photograph of a third party), (f) you will not post any Submitted Content to WPE that was previously published or which is otherwise unoriginal and which is subject to third party rights, (g) you shall pay for all royalties, fees and any other monies owed to any person by reason of any Submitted Content that you post to WPE, (h) Submitted Content may be subject to certain size and usage limitations, and you are responsible for adhering to such limitations, and (i) all Submitted Content shall adhere generally to all other applicable provisions of this Agreement.
By posting Submitted Content to WPE or by otherwise submitting Submitted Content to us (if applicable), you automatically grant, and you represent and warrant that you have the right to grant, to WPE regarding such Submitted Content, a non-exclusive, perpetual, irrevocable, sub-licensable (through multiple tiers), assignable, fully-paid, royalty free, and worldwide license to (a) use, copy, modify, adapt, publish, make, sell, and publicly display such Submitted Content.
4.5. Attendees acknowledge and agree that WPE collects contact information and their usage behavior within the WPE, and that contact information and usage behavior can be transmitted to WPE sponsors, exhibitors and speakers. Contact information can contain Attendee name, email address, and information Attendee adds to Attendee Profile within WPE. Usage behavior can include Attendee-provided answers to surveys, polls and quizzes, which sessions are viewed, which exhibits are visited, which exhibitor or sponsor content was clicked and/or downloaded, among other similar types of typical event behavior.
5. Whole Plant Expo Rights
5.1. We reserve the right to modify or terminate the Service for any reason, without notice at any time. You can review the current version of the Terms of Service at any time at here at https://wholeplantexpo.com/terms-of-service/.
5.2. We reserve the right to refuse service to anyone for any reason at any time.
5.3. We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, demonstrably incorrect or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
5.4. Verbal or written abuse of any kind (including threats of abuse or retribution) of any WPE or TheCompound.io customer, WPE or TheCompound.io employee, member, or officer will result in immediate account termination.
5.5. WPE does not pre-screen Content and it is in its sole discretion to refuse or remove any Content that is available via the Service.
5.6. WPE makes no promise of exclusivity segment and reserves the right to provide our Service to your competitors. You further acknowledge and agree that WPE and TheCompound.io employees and contractors may also be WPE or TheCompound.io customers and that they may compete with you, although they may not use your confidential information in doing so.
5.7. In the event of a dispute regarding account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.
5.8. WPE retains the right to determine, in our sole judgment, rightful account ownership and transfer an account to the rightful owner. If we are unable to reasonably determine the rightful account owner, WPE reserves the right to temporarily disable an account until resolution has been determined between the disputing parties.
6. Limitation of Liability
6.1. In addition to any other limitation of liability set forth in this Agreement, you expressly agree that in no event shall WPE and TheCompound.io, its officers, directors, employees, contractors, affiliates, or agents be liable to you or any third party for:
6.1.1. Any direct, indirect, punitive, incidental, special, consequential damages or any damages incurred by you, however caused and under any theory of liability. This shall include, but is not limited to lost profits (directly or indirectly), loss of data, loss of goodwill or business reputation, or other intangible loss;
6.1.2. Any loss or damage that may be incurred by you arising out of or in any way connected with the use or performance of TheCompound.io online events platform; the delay or inability to use TheCompound.io online events platform; the provision of or failure to provide Service; for any information, documents and publications you obtained through TheCompound.io online events platform; or otherwise arising out of the use of WPE or TheCompound.io;
6.1.3. Any loss or damage arising out of unauthorized access to or alteration of your transmissions of data and for any material or data sent or received or not sent or received; and
6.1.4. Any loss or damage arising out of any inaccuracies in the translation of information, documents and publications on WPE or TheCompound.io, or for any misunderstandings resulting from the differences in language usage, dialect, or particular regional usage in such translations.
6.1.5. The limitations of TheCompound.io’s liability in Section 6.1 apply even if WPE or TheCompound.io has been advised or should have been aware of the possibility that such losses or damages could arise.
6.2. In no event shall WPE or TheCompound.io or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our Site, our services or these Terms of Service or any other Agreement with WPE or TheCompound.io (however arising including negligence). You agree to indemnify and hold us and (as applicable) our subsidiaries, officers, directors, employees, contractors, affiliates, or agents harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
6.3. Your use of the Service is at your sole risk. The Service is provided on an “as-is” and “as-available” basis without any warranty or condition, express, implied or statutory.
6.4. WPE and TheCompound.io does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
6.5. WPE and TheCompound.io does not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
6.6. WPE and TheCompound.io does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.
6.7. In no event will WPE or TheCompound.io’s aggregate liability for all claims of any kind, including any claims arising out of or related to this agreement, whether by statute, contract, tort, or under any other theory of liability, exceed the fees paid by you for the TheCompound.io Service hereunder during the one (1) month period immediately preceding the date on which the cause of action arose.
7. Waiver and Complete Agreement
7.1. The failure of WPE or TheCompound.io to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. Unless a separate contract is required for professional Service, The Terms of Service constitutes the entire agreement between you and TheCompound.io and govern your use of the Service, superseding any prior agreements between you and TheCompound.io (including, but not limited to, any prior versions of the Terms of Service).
8. Content Contributed to WPE or TheCompound.io by Customers
8.1. WPE and TheCompound.io allows Customers to create their own posts, including through the sharing of content available on the internet and by assembling Content available on WPE and TheCompound.io online events platform, and to share such content through the TheCompound.io online events platform with other Customers. The TheCompound.io online events platform also allows WPE and TheCompound.io Customers to supply their Content for our and our users’ use in connection with the Service. In this Agreement we refer to all of this Content provided by Customers as “Customer Content”.
8.2. In order for WPE or TheCompound.io to make the Customer Content you contribute available on the TheCompound.io online events platform for these purposes, and to operate, market and promote the Service, WPE and TheCompound.io reserve the right to make use of such Customer Content in accordance with and subject to this Agreement. By contributing Customer Content to the Site or creating it on the TheCompound.io online events platform, you automatically grant to WPE and TheCompound.io an irrevocable and perpetual (except as set for this in Agreement), non-exclusive, transferable, fully-paid, royalty-free (except as expressly set forth in this Agreement), worldwide license, by ourselves or with others, to use, copy, distribute, publicly perform, publicly display, print, publish, republish, excerpt (in whole or in part), reformat, translate, modify, revise, and incorporate into other works, that Customer Content and any works derived from that Customer Content, in any form of media or expression, in the matter in which the Service from time to time permits Customer Content to be used, and to license or permit other to do so.
This license also grants WPE and TheCompound.io the right to sublicense that Customer Content to other Customers, Members or Users to permit their use of that Customer Content in the manner in which the Service from time to time permits Customer Content to be used.
8.3. Pursuant to section 9 below, you own all intellectual property in your own original Customer Content you contribute. You must not upload or contribute any content not originally created by you, or any content which is not properly licensed to you by someone else for uploading or contributing.
9. Intellectual Property and Customer Content
9.1. We do not claim any intellectual property rights over the material you contribute or otherwise provide to the TheCompound.io Service. All materials you upload remain yours. You can remove your content from WPE and TheCompound.io at any time. By deleting your account, you will also remove all content you have stored on the Service.
9.2. By uploading Content, you agree: (a) to allow other internet users to view your Content; (b) to allow WPE and TheCompound.io to display and store your Content; and (c) that WPE and TheCompound.io can, at any time, review all the Content submitted by you to its Service.
9.3. You retain ownership over all
9.4. Content that you upload to WPE and TheCompound.io online events platform; however, by making your platform presence public, you further agree to allow others to view your Content.
9.5. You are responsible for compliance of Content with any applicable laws or regulations.
9.6. We will not disclose your confidential information to third parties, except as required in the course of providing our services. Confidential information includes any materials or information provided by you to us which is not publicly known. Confidential information does not include information that: (a) was in the public domain at the time we received it; (b) comes into the public domain after we received it through no fault of ours; (c) we received from someone other than you without breach of our or their confidentiality obligations; or (d) we are required by law to disclose.
10. Payment of Fees
10.1. A valid credit card is required for accounts able to process orders using a live payment gateway. Accounts used for development purposes (unable to process orders using a live payment gateway) do not require a valid credit card.
10.2. Unless otherwise agreed in a contract for professional Service, the Service will be billed in 30 day intervals. When your billing period is over, the Account Owner will be sent an invoice via the email provided. Users have approximately two weeks to bring up and settle any issues with the billing.
10.3. All fees are exclusive of applicable federal, state, territory or provincial, local or other governmental sales, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future (“Taxes”).
10.4. If you are resident in the U.S., Taxes may apply to your subscription to or purchase of some or all of WPE or TheCompound.io’s products and services, including without limitation, your subscription to or purchase of WPE or TheCompound.io’s ecommerce services (“Taxable Offerings”). Any applicable Taxes are based on the rates applicable to the U.S. billing address you provide to us and will be calculated at the time of purchase of the applicable Taxable Offerings. Such amounts are in addition to fees for the Taxable Offerings and will be billed to the credit card you use to pay for the Taxable Offerings. If you are exempt from payment of such Taxes, you must provide us with an original certificate that satisfies applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from and after the date we receive such a certificate.
10.5. WPE and TheCompound.io do not provide refunds.
11. Cancellation and Termination
11.1. You may cancel your account at any time by emailing email@example.com and then following the specific instructions indicated to you in WPE or TheCompound.io’s response.
11.2. Once cancellation is confirmed all of your Content will be immediately deleted from the Service. Since deletion of all data is final please be sure that you do in fact want to cancel your account before doing so.
11.3. If you cancel the Service in the middle of the month, you will receive one final invoice via email. Once that invoice has been paid you will not be charged again.
11.4. We reserve the right to modify or terminate the TheCompound.io service for any reason, without notice at any time.
11.5. Fraud: Without limiting any other remedies, WPE or TheCompound.io may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site.
12. Modifications to the Service and Prices
12.1. Prices for using WPE or TheCompound.io online events platform are subject to change upon 30 days notice from WPE or TheCompound.io. Such notice may be provided at any time by posting the changes to the WPE website (wholeplantexpor.com) or the administration menu of your WPE online event presence via an announcement.
12.2. WPE and TheCompound.io reserve the right at any time to time to modify or discontinue, the Service (or any part thereof) with or without notice.
12.3. WPE and TheCompound.io shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
13. Optional Tools
13.1. WPE or TheCompound.io may provide you with access to third party tools over which WPE and TheCompound.io neither monitor nor have any control or input.
13.2. You acknowledge and agree that WPE and TheCompound.io provide access to such tools ‘as-is’ without any warranties, representations or conditions of any kind and without any endorsement. WPE and TheCompound.io shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
13.3. Any use by you of optional tools offered by WPE through the TheCompound.io online events platform is entirely at your own risk and discretion and you should ensure that you are familiar with and approve the terms on which tools are provided by the relevant third party provider(s).
13.4. WPE and TheCompound.io strongly recommend seeking specialist advice before using or relying on certain tools. In particular, tax calculators should be used for reference only and not as a substitute for independent tax advice when assessing the correct tax rates you should charge end users.
14. Digital Millennium Copyright Act (DCMA)
14.1. TheCompound.io has adopted the following general policy toward copyright infringement in accordance with the Digital Millennium Copyright Act (http://lcweb.loc.gov/copyright/legislation/dmca.pdf). It is WPE and TheCompound.io’s policy to (a) block access to or remove Content that it believes in good faith to be copyrighted material that has been illegally copied and distributed by any of its affiliates, content providers, or users; and (b) remove and discontinue service to repeat offenders.
14.2. Procedure for Reporting Copyright Infringement – If you believe that Content residing on or accessible through the TheCompound.io online events platform or Services infringes a copyright, please send a notice of copyright infringement containing the following information to the Designated Agent listed below:
14.2.1. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed;
14.2.2. Identification of works or materials being infringed;
14.2.3. Identification of the Content that is claimed to be infringing including information regarding the location of the Content that the copyright owner seeks to have removed, with sufficient detail so that TheCompound.io is capable of finding and verifying its existence;
14.2.4. Contact information about the notifier including address, telephone number and, if available, e-mail address;
14.2.5. A statement that the notifier has a good faith belief that the Content is not authorized by the copyright owner, its agent, or the law; and
14.2.6. A statement made under penalty of perjury that the information provided is accurate and the notifying party is authorized to make the complaint on behalf of the copyright owner.
14.3. Once Proper Bona Fide Infringement Notification is Received by TheCompound.io’s Support Team – It is TheCompound.io’s policy to notify the Content provider or user that an infringement notification has been received and that the Content will be removed at the end of 24 hours unless a counter-notice is supplied to TheCompound.io. If no legitimate counter-notice is supplied, the infringing content will be removed from the system.
14.4. Procedure to Supply a Counter-Notice to TheCompound.io – If the Content provider, or user believes that the Content that was removed or to which access was disabled is either not infringing, or the Content provider or user believes that it has the right to post and use such Content from the copyright owner, the copyright owner’s agent, or pursuant to the law, the Content provider or user must send a counter-notice containing the following information to TheCompound.io’s Support Team listed below:
14.4.1. A physical or electronic signature of the Content provider or user;
14.4.2. Identification of the Content that is claimed to be infringing;
14.4.3. A statement that the Content provider or user has a good faith belief that the infringement notification was received as a result of mistake or a misidentification of the Content; and
14.4.4. Content provider’s or user’s name, address, telephone number, and, if available, e-mail address and a statement that such person or entity consents to the jurisdiction of the Federal Court for the judicial district in which the Content provider’s or user’s address is located, or if the Content provider’s or user’s address is located outside the United States, for any judicial district in which TheCompound.io is located, and that such person or entity will accept service of process from the person who provided notification of the alleged infringement.
14.4.5. If a counter-notice is received by TheCompound.io’s Support Team, TheCompound.io will restore access to the Content and notify the original complaining party. The Content will then remain published unless the copyright owner files an action seeking a court order against the Content provider or user.

If you believe a WPE or TheCompound.io customer is infringing on your intellectual property rights, you can send TheCompound.io a DMCA Notice. We will expeditiously disable access or remove the content and notify the customer. Be advised that we post all notices we receive.
